Imagine Lawyers Advises Quantum Systems on Joint Venture with Tencore and Secures Unconditional Ukrainian Merger Clearance

Imagine Lawyers has advised Quantum Systems, a leading German unmanned systems company, Europe’s first dual-use unicorn and one of the world’s few defence unicorns, on the establishment of a joint venture with Tencore, a leading Ukrainian developer and manufacturer of unmanned ground vehicles (UGVs).

As part of the transaction, Imagine Lawyers successfully obtained unconditional merger clearance from the Antimonopoly Committee of Ukraine for the establishment of the joint venture.

The firm’s multidisciplinary team advised Quantum Systems throughout the transaction on all key aspects of Ukrainian law. The scope of the engagement included legal advice on transaction structuring, legal due diligence, preparation and negotiation of transaction documents, tax, intellectual property and employment matters, as well as other Ukrainian legal and regulatory issues arising in connection with the investment.

The newly established joint venture has already been awarded the world’s largest known procurement programme for unmanned ground vehicles (UGVs), launched jointly by the German Federal Ministry of Defence and the Ministry of Defence of Ukraine. Under the programme, the joint venture will supply battle-proven Ukrainian-designed UGVs to the Armed Forces of Ukraine.
